Terms of Use.
These Terms of Use (the “Terms”) govern your access to and use of the websites operated by Villion LLC (“Villion”, “we”, “us” or “our”), including this website and its forms (together, the “Site”). Please read them carefully. Our Privacy Policy explains how we handle personal information and forms part of these Terms.
1. Acceptance of these Terms
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site. If you use the Site on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms on its behalf, and “you” includes that organisation. You must be at least 18 years old to use the Site or submit an inquiry.
2. Who we are
Villion is a concierge house. We arrange travel, events and private access for individuals, companies and partners. Our offering includes:
- Villion: our core concierge service for cars, villas, private jets and yachts.
- Villion+: hotels, empty-leg flights, business-class flights, restaurants, clubs, event access and chauffeur services.
- Villion Corporate: company accounts for corporate events, team retreats, group and executive travel, and executive office support.
- Communities: concierge services delivered with hotels and hospitality groups, residences and developers, and clubs.
- Villion Studio: event production, films and photography.
- Eminence by Villion: our private network membership and its calendar of events.
Villion LLC is located at 74 Clifton Dr, Daly City, CA 94015, United States. The services we provide, whether through the Site, the Villion app or otherwise, are referred to in these Terms as the “Services”.
3. Use of the Site
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable permission to access and use the Site for your personal or internal business purposes, namely to learn about Villion and to contact us. We may change, suspend or discontinue any part of the Site at any time, and we may restrict or end your access if we reasonably believe you have breached these Terms.
The Site describes our Services in general terms. Descriptions, images and films are for illustration and do not form part of any offer.
4. Inquiries are not bookings
Submitting a form, sending an email or otherwise contacting us through the Site is an inquiry only. It does not create a booking, reservation, membership, sponsorship, partnership or any other contract, and it does not oblige either you or us to proceed.
Any Service we agree to provide is governed by a separate written agreement, proposal or booking confirmation issued by us (a “Service Agreement”), together with any supplier terms it refers to. If a Service Agreement conflicts with these Terms, the Service Agreement prevails for that Service. We may decline any inquiry at our discretion.
5. Third-party suppliers
Many Services are delivered by independent third parties, such as hotels, villa owners, aircraft and yacht operators, airlines, car and chauffeur companies, restaurants, clubs, venues and event organisers (“Suppliers”). Suppliers are not owned or controlled by Villion. Unless a Service Agreement expressly states otherwise, we act as an intermediary in arranging their services, and each Supplier is responsible for the services it provides.
Services provided by a Supplier are subject to that Supplier’s own terms and conditions, including its policies on payment, cancellation, changes, refunds, safety, conduct and liability. To the fullest extent permitted by law, Villion is not liable for the acts, errors, omissions, representations, warranties or negligence of any Supplier, or for any injury, loss, damage, delay or cancellation resulting from them. Aircraft and yacht charters are operated by the relevant licensed operator, which retains operational control.
6. Rates, savings and availability
References on the Site to rates, savings or member pricing, including references to savings of “up to 60%” on hotels, are indicative only. Actual rates and savings vary by property, date, length of stay, room or service type, occupancy and availability. They are not guaranteed, may not be available for every property or date, and may change without notice until confirmed in writing.
All Services are subject to availability and to confirmation by the relevant Supplier. Rates, taxes, fees and conditions applicable to a particular request are those stated in the Service Agreement or booking confirmation.
7. Membership and invitations
Membership of Eminence by Villion, Villion accounts, invitations to events and access to member benefits are offered at our discretion. We may decline any application or request for an invitation without giving a reason, and we may suspend or withdraw membership, invitations or access where we consider it appropriate, including for conduct that is inconsistent with these Terms or with the standards of our network. Membership benefits and eligibility are described in the applicable membership terms and may change over time.
8. Events, sponsorships and partnerships
Sponsorships, brand partnerships, partner programmes, supplier listings, community partnerships and corporate engagements are each subject to a separate written agreement. Nothing on the Site is an offer to enter into any of them.
Our events calendar is provided for information. Events, dates, locations, formats, hosts, performers and partners are subject to change, postponement or cancellation. Attendance at any event is by invitation or confirmed registration and is subject to the terms of that event, including any conduct rules set by us or the venue.
9. Intellectual property
The Site and its content, including text, design, layout, graphics, photography, films and the selection and arrangement of that content, are owned by Villion or its partners and licensors and are protected by copyright, trademark and other laws. Villion, Villion+, Villion Studio, Eminence by Villion and the related logos are trademarks of Villion.
Other brand names, hotel and venue names and logos shown on the Site belong to their respective owners. They appear with permission, in connection with collaborations, or to identify those owners, and their appearance does not imply any endorsement beyond the relationship described. You may not copy, reproduce, distribute, modify, publicly display or create derivative works from any part of the Site, or use our trademarks, without our prior written consent, except for viewing the Site and printing or saving a page for your own non-commercial reference.
10. Your submissions
When you submit an inquiry or other information through the Site, you confirm that it is accurate, that you are entitled to share it, and that it does not infringe anyone’s rights. Where you provide information about other people, such as colleagues or travellers, you confirm that you are authorised to do so. We use personal information in line with our Privacy Policy.
If you send us ideas, suggestions or feedback about our Services, you agree that we may use them without restriction or obligation to you. Please do not send confidential or proprietary information through the Site unless we have agreed in writing to receive it on that basis.
11. Acceptable use
You agree not to:
- use the Site in breach of any law or regulation, or for any fraudulent or unlawful purpose;
- submit false, misleading or impersonating information, or submit inquiries on behalf of others without their authority;
- send spam, unsolicited advertising or bulk submissions through our forms;
- upload or transmit viruses, malware or any other harmful code;
- attempt to gain unauthorised access to the Site, its servers, administrative areas or connected systems, or interfere with their security or operation;
- scrape, crawl, harvest or copy content or data from the Site by automated means, other than standard search-engine indexing;
- frame or mirror the Site, or remove or alter any copyright, trademark or other notice; or
- use the Site in any way that could damage the reputation of Villion, our members or our partners.
12. Privacy
Our Privacy Policy describes how we collect, use and share personal information, and the choices and rights available to you. By using the Site, you acknowledge that your information will be handled as described there.
13. Links to third-party websites
The Site may contain links to websites, apps and social media pages operated by third parties, including our partners and Suppliers. We provide these links for convenience only. We do not control and are not responsible for their content, availability, terms or privacy practices, and a link does not imply our endorsement. Your use of third-party websites is at your own risk and subject to their terms.
14. Disclaimers
The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Villion disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Site will be uninterrupted, secure or free of errors or harmful components, or that information on the Site is complete, accurate or current. Information on the Site is general and does not constitute legal, financial, tax, immigration or travel advice. You are responsible for your own travel documents, visas, health requirements and insurance.
15. Limitation of liability
To the fullest extent permitted by law, Villion and its officers, members, employees, agents, partners and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to these Terms, the Site or its content, whether based on contract, tort (including negligence), strict liability or any other theory, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability arising out of or relating to the Site and these Terms will not exceed the amount, if any, that you paid us for access to the Site. Liability in connection with a Service is governed by the applicable Service Agreement. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, and some jurisdictions do not allow certain exclusions, so some of the above may not apply to you.
16. Indemnity
You agree to indemnify, defend and hold harmless Villion and its officers, members, employees, agents and partners from and against any claims, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising out of or relating to your breach of these Terms, your misuse of the Site, information you submit, or your violation of any law or the rights of any third party.
17. Governing law and venue
These Terms and any dispute or claim arising out of or relating to them or the Site are governed by the laws of the State of California, United States, without regard to its conflict-of-law rules. You and Villion agree that the state and federal courts located in San Mateo County, California have exclusive jurisdiction over any such dispute, and you consent to the personal jurisdiction of those courts. This does not affect any mandatory consumer protection rights you may have under the law of the place where you live.
18. General
If any provision of these Terms is found to be unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign or transfer these Terms without our prior written consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy and any applicable Service Agreement, are the entire agreement between you and Villion regarding the Site. Sections 9, 10 and 14 to 18 survive any termination of your access to the Site.
19. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page with a new “Last updated” date. Changes take effect when posted, and your continued use of the Site after that date means you accept the updated Terms. Changes do not affect any Service Agreement already in place.
